Bio

Mr. Maggart is a CPA and the managing partner in the Firm of Maggart & Associates, P.C. A summa cum laude graduate of the University of Tennessee with a bachelor's degree in accounting, Mr. Maggart was also valedictorian at the University and recorded the highest grade in the State of Tennessee on the May, 1972 CPA examination. In January of 1998, he was in the first round of CPAs to receive the (ABV) Accredited in Business Valuation Certificate from the American Institute of Certified Public Accountants. This certificate is awarded to persons who fulfill all the established requirements of eligibility by demonstrating the necessary qualifications, including the passing of a written examination.

He has diversified experience in accounting, auditing and tax matters for financial institutions, commercial, construction, real estate, individuals, and not-for-profit clients. His engagement responsibilities have included extensive dealings with management consulting activities including litigation support services. These support services have included both consulting on accountant responsibilities and testimony as an expert witness. Litigation support services over the past decade have included several accountant malpractice cases, assistance in matters involving alleged defalcations, assistance in investigation of numerous claims related to alleged employee defalcations under Standard Form 24 on Bankers Blanket Bonds and business valuations.

The focus of our practice has been serving private and publicly traded community banks with assets ranging up to $4 billion in assets. Fidelity Institution Bond claims investigated have involved defalcations in several areas including teller cash, demand deposit accounts, fictitious loans, unauthorized security transactions, unfunded official checks, unauthorized cash disbursements, etc. We have also been involved in the defense of lender’s liability claims.

Mr. Maggart has significant experience in all phases of complex mergers and acquisitions of numerous businesses. His experience includes identification of acquisition targets, preparation of terms sheets, memorandum of understanding, definitive agreements including stock verses asset purchases, consulting agreements, non-compete agreements and more. Mr. Maggart's experience covers a period of over 45 years and includes a variety of industries including financial institutions, contractors and the service industry. Experience also includes filing with regulatory agencies such as the Securities and Exchange Commission, the Federal Reserve and various State regulatory agencies.

In addition to his audit and accounting experience, he has extensive professional experience in business valuation. In January, 1998, he was awarded the Accredited in Business Valuation (ABV) designation by the American Institute of Certified Public Accountants.

Mr. Maggart has served as an assistant instructor for accounting at the University of Tennessee, Knoxville, Tennessee. Mr. Maggart has also served as an instructor for various courses and seminars for the Tennessee Society of CPAs. While with the international accounting firm, Mr. Maggart served as a national instructor for various accounting and auditing courses and specialized industry training. Mr. Maggart also started the Tennessee CPA publication and served as the first editor and chairman of the first editorial committee.

He is a member of the American Institute of Certified Public Accountants (AICPA), the Tennessee Society of Certified Public Accountants (TSCPA), the Institute of Management Accountants (IMA), and the Tennessee Bankers Association. In addition, he has served on the Editorial, Banking and Accounting and Auditing Committees of the Tennessee Society of CPAs. The firm of Maggart & Associates is a member of both the SEC Practice Section and Private Companies Practice Section of the AICPA. Mr. Maggart has served as a team captain on peer reviews of SEC member firms. He has served on the Board of Directors of numerous non-profit organizations.

Bio

Mr. Allen is a CPA and partner in the Firm of Maggart and Associates, P.C..  He received his Bachelor of Business Administration Degree with a major in Accounting and Business Administration from Middle Tennessee State University.  Mr. Allen earned his CPA designation in 1989.  He is licensed in both the state of Tennessee and Kentucky.

Mr. Allen has extensive experience in auditing and accounting matters with an emphasis in construction contractors, real estate developers financial institutions, hotels and motels, and not-for-profit organizations.  In addition, he provides consulting services for various small business accounting software applications.  He also has experience in tax matters relating to individuals and the previously mentioned specialized industries.

In the area of construction contractors, Mr. Allen has served as audit partner on numerous constructon contractor engagements in the Middle Tennessee and Southern Kentucky regions.  Mr. Allen has also served in a supervisory capacity in numerous consulting and litigation support engagements within the construction industry.  The consulting engagements include, among other things, mergers and acquisition experience, assistance with development of policies, procedures and related internal control systems.

Mr. Allen has worked on numerous litigation projects in the role of consultant and expert witness.  Experience includes work on employee defalcation, construction and financial institution bond claims, damage calculations, and accounting malpractice cases.  In this role, Mr. Allen has extensive experience in investigating fraud perpetrated by employees and claimants, review of other accountants workpapers for malpractice, calculation of damage claims based on facts and circumstances using various techniques including business valuations and assistance with deposing witnesses on technical financial or auditing matters.

Mr. Allen is a member of the Tennessee Society of Certified Public Accountants and the American Institute of Certified Public Accountants.

CPA Chris Conro

Bio

Chris Conro is a CPA and Audit Partner with the firm and has more than eight years of public accounting experience. He received his Bachelor’s in Business Administration Degree with a major in Accounting from Middle Tennessee State University.

In his role, Mr. Conro provides comprehensive assurance and advisory services for his clients and has extensive experience in accounting, auditing, and tax matters for financial institutions, construction contractors, service companies, entertainment and hospitality companies, franchising companies, not-for-profit organizations, employee benefit plans, and individuals. He also assists clients with the reporting and disclosure requirements that are unique to their industries, implementation of new accounting standards, internal control analysis, and technical issues.

In the banking industry, Mr. Conro’s experience includes working on numerous engagements with both private and public financial institutions ranging in asset sizes from $180 million to $4 billion. His external audit experience includes audits of Securities and Exchange Commission (SEC) registrants and audits of internal controls over financial reporting in conjunction with SOX 404 and FDICIA requirements. Mr. Conro has also provided services for financial institutions that include internal audit services, loan review, mergers and acquisitions, asset/liability model testing, annual state collateral pool certification, and review of quarterly and annual SEC filings.

Mr. Conro has served as the lead auditor on the firm’s employee benefit plan audit practice since 2015. He is proficient in IRS and DOL compliance and reporting requirements and regularly attends the annual Employee Benefit Plan Conference conducted by the TSCPA. He has also provided certain third-party administrator services for clients.

Mr. Conro has also assisted with various litigation projects and with due diligence projects with companies in various industries to help them obtain capital through debt financing and private or public placements.

Mr. Conro is a member of a variety of professional organizations, including the American Institute of Certified Public Accountants (AICPA) and the Tennessee Society of Certified Public Accountants (TSCPA).

Bio

Mr. David von Dohlen is a CPA and a partner in the Firm of Maggart & Associates, P.C. He received a Master of Business Administration degree from the University of Tennessee — Knoxville. Prior to his association with Maggart & Associates, P.C., he worked on the audit staff of a national accounting firm located in Nashville, Tennessee.

He has diversified experience in accounting and auditing matters relating to colleges and various types of not-for-profit organizations, limited partnership real estate ventures, construction and manufacturing concerns. Mr. von Dohlen is a member of the Tennessee Society of Certified Public Accountants and the American Institute of Certified Public Accountants.

He has been active in community services through his association with the Nashville Area Junior Chamber of Commerce, First Steps, Inc. and the Green Hills Rotary Club where he has served as treasurer for these organizations and as director with the Rotary Club.

Bio

Michael Holland is a Tax Partner at Maggart and Associates with more than 30 years of experience assisting business owners and individuals with a variety of tax, payroll, and consulting needs. Mr. Holland earned his bachelors degree in accounting from Tennessee Technology University in 1990. Over the course of his career, he has also gone on to complete a number of certifications, including his CPA, ABV (Accredited Business Valuation), EA (Enrolled Agent with IRS) and CFF, in order to best meet his clients’ needs and help them achieve their goals.

Prior to joining Maggart in 2006, Mr. Holland worked as a property appraiser, accountant, and auditor, and he gained invaluable experience across various sectors and industries. He spent five years working in the public sector as a Legislative Auditor for the State of Tennessee’s Comptroller of the Treasury and a Personal Property Appraiser for the Nashville and Davidson County Division of Assessments. His wide variety of past experiences, coupled with his education and certifications, allow Mr. Holland to have a unique understanding of his clients’ needs and develop creative solutions to any problems they may encounter.

At Maggart, Mr. Holland's clients include businesses, trusts, individuals, and non-profits, and he assists them with everything from federal, state, and local tax returns to financial consulting, IRS solutions, and implementing accounting software. Additionally, he has experience with valuations and assists with business valuation preparations for estate taxes, gifting, and litigations.

In his free time, Michael loves spending time with his friends and family, hiking, and swimming.

Bio

M. Todd Maggart is a CPA and Tax Partner at the firm. Mr. Maggart graduated from the University of Tennessee with a bachelor's degree in industrial engineering and a master’s degree in accounting and information systems from MTSU in Murfreesboro, Tennessee. He is a member of the AICPA and TSCPA. He has experience in the valuation of businesses and has earned the ABV (Accredited in Business Valuation) designation from the AICPA.

Mr. Maggart has over 20 years of experience in public accounting in a wide variety of industries including tax matters for individuals, estates, trusts, construction, healthcare, real estate, financial institutions, small businesses, and multi-state commercial clients. He also has extensive experience working with the IRS on various notices and audits of individuals and companies.

Mr. Maggart has experience with mergers, sales, acquisitions, tax planning, and consulting. Mr. Maggart also has experience with multi-state nexus research for income taxes and has extensive experience with corporate, partnership and individual tax filings/compliance in many state and local taxing jurisdictions.

Mr. Maggart also serves on a board of directors for a local not-for-profit.

CPA Jason Ricciardi

Bio

Mr. Jason Ricciardi is a CPA, CGMA and partner in the Firm of Maggart and Associates, P.C. He graduated magna cum laude from the University of Richmond with a Bachelor of Science in Business Administration with a major in accounting. Prior to his association with Maggart and Associates, P.C., he was a manager with Arthur Andersen.

Mr. Ricciardi has extensive experience with financial institutions, franchise companies, internet-based platform companies, service companies, entertainment and hospitality companies, manufacturing and distribution companies, construction and architectural and engineering firms, and defined benefit and contributions plans. He has worked on numerous security and exchange commission engagements including involvement in various public offerings and other 1933 and 1934 Act filings. Mr. Ricciardi has successfully worked with various start-up, high growth companies to help them attain capital through debt financing and private or public placements.  Mr. Ricciardi also has extensive litigation support experience including employee defalcations and claims analysis, owner disputes, and damage assessments.

Mr. Ricciardi is head of quality control for Maggart, with responsibility for ensuring the Firm maintains the high-quality standards required to secure membership in the Private Companies Practice Section of the American Institute of Certified Public Accountants and enrollment in and compliance with the Public Company Accounting Oversight Board. This responsibility includes oversight of the Firm’s prolific banking industry practice and maintaining current with standards.

Mr. Ricciardi also has extensive experience as an instructor and currently conducts in-house training courses for Maggart. Mr. Ricciardi also performed instructor services with the previous international accounting firm.

Mr. Ricciardi provides comprehensive business and financial consulting including: preparing clients for sale; consulting owners on properly establishing governance and financial rights to ensure stronger owner relationships; evaluating business risks and internal controls and formulating solutions; restructuring for growth or troubled companies; obtaining capital; structuring financial transactions such as acquisitions, buy-outs or growth opportunities; conducting strategic planning with boards and management; assisting in owner buy outs including structuring, pricing and funding.

Mr. Ricciardi also provides comprehensive merger and acquisition services on the buy and sell side including conducting comprehensive financial, tax and business due diligence, assisting with financial assessments and establishing financial parameters, conducting a quality of earnings review, structuring, funding, and pricing.

Mr. Ricciardi is a member of the Tennessee Society of CPAs, the American Institute of Certified Public Accountants, and the American Bar Association. Mr. Ricciardi is actively involved in coaching youth sports and children’s ministry of his church. He previously served a term as a Deacon at his church and is a currently an active Stephen Minister. Mr. Ricciardi serves on the board of the Boy Scouts of America Middle Tennessee Council and is a den leader in Cub Scouts.

Mr. Ricciardi is a member of the Tennessee Society of CPAs, the American Institute of Certified Public Accountants, and the Nashville Chapter of the Institute of Management Accountants. Mr. Ricciardi is actively involved in coaching youth sports and children’s ministry of his church. He previously served on the Board of Directors of Christmas in April, ACT Now and the Brentwood Academy Alumni Board in the capacity of Treasurer.
